These terms cover the marketing, advertising management and consulting services Built To Optimize ("BTO", "we", "us") provides to you ("Client", "you").

You agree to these terms when you check the agreement box on our onboarding form, sign digitally, submit payment, or tell us to start work.

1. WHAT WE DO

We manage marketing for service businesses. Depending on your plan, that can include Google Ads, Local Services Ads, Meta (Facebook and Instagram) Ads, Google Business Profile and local listings, conversion and call tracking, reporting, and related setup work.

Your exact services are listed in your onboarding documents and on your invoices. If we add or remove a service, we will confirm it with you in writing (email is fine) before your invoice changes.

2. NO GUARANTEED RESULTS

We work hard to get you more and better leads, but we cannot guarantee specific results. That includes revenue, lead volume, conversions or cost per click.

Ad results depend on things outside our control, including platform algorithms, what competitors bid, demand in your area, and how quickly your team answers and follows up on leads. Our services are provided "as is."

3. CONFIDENTIALITY

We keep your business information private. We will never share your financials, lead counts or sales data.

In return, you agree to keep our strategies, frameworks, AI prompts, internal processes and procedures confidential.

4. OUR USE OF AI AND SOFTWARE TOOLS

We use third-party software and AI assistants to deliver our services. These tools may access your ad accounts, analytics, call tracking and other marketing accounts to analyze, report on and manage your campaigns.

We are fully responsible for all work done through these tools. A person on our team reviews any significant account change before it goes live. Your data is only used to deliver your services. It is never sold or used for anything unrelated to your account.

5. YOU OWN YOUR ACCOUNTS

We will never hold your accounts hostage.

You own 100 percent of your Google Ads account, Local Services Ads profile, Meta ad account, Google Business Profile, tracking setup and website access.

We are given manager or partner access only so we can do the work.

When services end and any open invoices are paid, we remove our access. All of your account history and setup stays with you.

6. BILLING AND PAYMENT

Monthly management fees: Billed in advance each month. Work for a billing period starts once that month's invoice is paid.

Payment methods: You can pay by bank transfer (ACH) or credit/debit card. Some prepayment offers require ACH.

Ad spend: You pay Google, Meta and other ad platforms directly with your own payment method. BTO never pays or fronts ad spend for you.

Failed or late payments: If a payment fails or is late, we may pause our work and your campaigns until it is resolved. We are not responsible for lost performance or revenue during that pause.

7. RATE CHANGES

We will give you at least 30 days' written notice before your monthly rate changes.

We will not raise your rate more than once in any 12-month period, unless you add services.

8. LATE FEES AND REFUNDS

Late fees: Invoices unpaid 15 days after the due date may be charged a 10 percent late fee each month, up to the maximum allowed by law.

Refunds: Management fees are non-refundable. We do not refund past months or partial months of work.

Prepayments: If you prepay for multiple months and cancel early, unused full months are not refunded unless we agree otherwise in writing.

9. CANCELLING

You can cancel at any time.

To cancel, email hello@builttooptimize.com at least 14 days before your next billing date. That gives us time to stop your next invoice.

If you cancel with less than 14 days' notice, your next invoice will still be charged. We may choose to offer a partial or prorated adjustment based on the work already scheduled or done for that month.

10. GOVERNING LAW

These terms are governed by the laws of the State of New Jersey. Any legal dispute related to these terms must be filed in a New Jersey court.
